Terms of Service – MyPanelFabrics B.V.

1. Scope and Applicability

These Terms of Service apply to all offers, orders, agreements, and transactions between MyPanelFabrics B.V. and its business customers.

By accessing the website or placing an order, the customer agrees to be bound by these Terms of Service.

2. Business-to-Business (B2B) Only

MyPanelFabrics B.V. operates exclusively on a business-to-business (B2B) basis.

By placing an order, the customer confirms that they are acting in a professional or commercial capacity. Consumer rights and protections do not apply.

3. Products and Orders

3.1 All products are sold on a panel-based system, where one panel represents one product unless stated otherwise.

3.2 All orders are considered requests (inquiries) and are only binding after confirmation by MyPanelFabrics B.V.

3.3 MyPanelFabrics B.V. reserves the right to refuse or cancel any order at its discretion.

3.4 Minimum order quantities may apply and are communicated during the ordering process.

4. Pricing

4.1 All prices are stated exclusive of VAT and other applicable taxes.

4.2 Prices may be subject to change due to external factors such as material costs, transportation, or governmental charges.

5. Payment Terms

5.1 All orders must be paid in full in advance via the website.

5.2 Accepted payment methods include:

• Bank transfer
• iDEAL
• Credit/Debit card
• Other payment methods offered via Shopify Payments

5.3 Orders will not be processed until payment has been successfully received.

6. Production and Delivery

6.1 All products are manufactured on a pre-order basis.

6.2 The estimated production and delivery time is approximately 4 weeks, unless stated otherwise.

6.3 Delivery is carried out under EXW (Ex Works) conditions from Kortenhoef, The Netherlands.

6.4 Shipping costs are calculated separately and depend on destination and shipment size.

7. Cancellation Policy

7.1 Orders may be cancelled free of charge within 4 weeks, provided production has not started.

7.2 After this period, a 15% cancellation fee may apply.

7.3 Once production has started, orders cannot be cancelled.

8. Intellectual Property

8.1 All designs, prints, and materials remain the exclusive property of MyPanelFabrics B.V.

8.2 Any unauthorized use, reproduction, or copying is strictly prohibited and may result in legal action.

9. Liability

9.1 MyPanelFabrics B.V. shall not be liable for indirect or consequential damages.

9.2 Liability is limited to the invoice value of the goods supplied.

9.3 Liability only applies in cases of proven intent or gross negligence.

10. Force Majeure

MyPanelFabrics B.V. shall not be held liable for delays or failure to perform due to circumstances beyond its reasonable control, including but not limited to:

• Supply chain disruptions
• Delays from suppliers
• Transportation issues
• Government restrictions

11. Governing Law and Jurisdiction

11.1 All agreements are governed by Dutch law.

11.2 Any disputes shall be submitted to the competent court in the Netherlands.
